Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Nousphere Inc. ("Nousphere," "we," "us," or "our"), including but not limited to Sophia OS and its modules. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our websites, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Services Description

Nousphere provides AI-powered business tools, including but not limited to automated voice calling, conversation management, and related analytics through the Sophia OS platform. Our services use artificial intelligence to conduct and manage outbound and inbound communications on your behalf.

5. Acceptable Use

You agree to use our services only for lawful purposes. You may not:

  • Use our services to make calls that violate the Telephone Consumer Protection Act (TCPA) or any applicable telemarketing, robocalling, or do-not-call regulations
  • Misrepresent the nature of AI-generated calls where disclosure is required by law
  • Use our services to harass, threaten, defraud, or deceive any person
  • Transmit malicious code, attempt to gain unauthorized access, or interfere with our systems
  • Resell or redistribute our services without written authorization
  • Use our services in any manner that could damage, disable, or impair our infrastructure

6. Telephony and Compliance

You are solely responsible for compliance with all applicable telecommunications laws and regulations in your jurisdiction, including but not limited to TCPA, TSR, state-specific telemarketing laws, and AI disclosure requirements. You must obtain all necessary consents before initiating automated calls or messages through our platform. Nousphere provides tools and technology; compliance with applicable law is your responsibility.

7. Billing and Payment

Paid services are billed according to the plan you select. Fees are charged in advance on a monthly basis. Overage charges, if applicable, are billed in arrears based on actual usage. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice.

8. Your Data

You retain ownership of all data you upload, generate, or transmit through our services, including contact lists, call recordings, transcripts, and agent configurations. We process your data solely to provide and improve the services as described in our Privacy Policy.

9. Intellectual Property

All rights, title, and interest in our services, technology, trademarks, and content (excluding your data) are and remain the property of Nousphere Inc. These Terms do not grant you any rights to use our trademarks, logos, or branding without prior written consent.

10. Third-Party Services

Our platform integrates with third-party services including telephony providers, payment processors, and AI model providers. Your use of these integrations may be subject to the terms and policies of those third parties. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features or services at any time. We will make reasonable efforts to provide advance notice of material changes.

12. Limitation of Liability

To the maximum extent permitted by law, Nousphere Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use our services. Our total liability for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nousphere Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your right to use our services ceases. We will make your data available for export for a reasonable period following termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and, where appropriate, by email. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
